Governance & structure

Governance is vested in an Executive Council elected by the membership. Council members are regarded as equals, with collective decision-making and democratic process guiding every action.

How the organization is layered

General Body

Comprises all members. Eligible voting members elect the Executive Council.

Executive Council

Governs the organization, elects Permanent Members and inducts Honorary Members. Up to fifteen members, all equal in governance.

Committees

Formed and led by Executive Council Directors, who recruit members directly from the General Body.

Internal Audit Council

Verifies financial transfers and safeguards accuracy and accountability.

Executive Council roles

President

Leads the organization and represents PTM in all official matters.

Vice President

Supports the President and steps in when duties must be delegated.

Secretary

Maintains records, minutes and verification of non-financial transfers.

Treasurer

Manages finances, budgeting, reporting and expense approvals.

Operations & Community Services

Coordinates logistics for community service events and volunteer teams.

Food & Logistics

Plans food services, supplies and resource distribution for events.

Community Engagement & Public Relations

Builds relationships with members, partners and the wider public.

Technology & Digital Systems

Runs digital platforms, tools and data systems for PTM.

Marketing & Outreach

Drives communications, campaigns and organizational visibility.

Safety & Support

Ensures safe, well-supported events and member wellbeing.

Strategic Programs & Growth

Leads long-term planning, partnerships and new initiatives.

Youth Affairs & Development

Champions youth participation, mentorship and leadership.

Article VI

Finances & approvals

Funds are used solely for the charitable, educational and cultural purposes of PTM. Expenditure thresholds require layered approval:

Under $100Prior approval from any member of the Executive Council.
$100 – $499Prior approval from both the Treasurer and the President.
Over $499Approval from a quorum of the Executive Council.

Articles IV & VII

Meetings & amendments

  • A quorum for Executive Council meetings is at least sixty percent of seated members. No official decisions are made without quorum.
  • Decisions are determined by majority vote of the Executive Council unless the bylaws specify otherwise.
  • Amendments require a two-thirds vote of the Executive Council, a two-thirds vote of the Permanent Members, and a majority vote of participating General Membership.
  • PTM complies with the Washington Nonprofit Corporation Act (RCW 24.03A) and applicable federal and state regulations for charitable organizations.
